Definition
Owning or having control over voting shares of a security. An individual or company holding a beneficial ownership of more than 5 percent of a publicly traded company is required to disclose the fact to the Securities & Exchange Commission (SEC) by filing a Schedule 13D. Schedule 13D filings can be accessed on the SEC's EDGAR database.
