duty to mitigate

Definition

Aggrieved (or non-breaching) party's obligation to make reasonable efforts to limit additional losses, after a damaging event (or a breach of contract) has occurred. Failure in this duty may prevent the aggreieved party from obtaining compensation for avoidable losses. See also mitigation of damages.
