nonissuer transaction
Definition
Financial transaction that is not either directly nor indirectly executed to benefit the issuer. Some types of nonissuer transactions are not required to be registered with the Securities and Exchange Commission (SEC), such as those in which one investor sells stock shares directly to another individual.
