Definition

The process of a company acquiring another company and merging its subsidiary with firm that it is obtaining. The outstanding shares of stock of the subsidiary, all of which are owned by the company making the acquisition, are converted into shares of stock of the target corporation. Reverse triangular mergers are often used by firms that due to regulations must not allow certain assets to be exchanged.
